Nomura to Acquire Code Securities

Creating a dominant European healthcare investment banking house

Nomura International plc (“Nomura”) announced today the proposed acquisition of Code Securities (“Code”), Europe’s leading life sciences investment banking firm, in a transaction which will give Nomura’s clients access to increased specialist resources and provide Code with enhanced access to international markets and growth opportunities. The acquisition is subject to certain conditions, including due diligence and regulatory approval.

Nomura will operate Code as a wholly owned subsidiary which will be rebranded Nomura Code Securities, with Code’s current twenty-six strong team working in collaboration with their counterparts at Nomura. Nomura Code Securities’ Board will comprise senior management from Nomura as well as Code’s management. Going forward, Nomura Code Securities will benefit from the full support of Nomura’s infrastructure and will work closely with Nomura’s global network of investment banking, research, sales and trading teams.

Code is Europe’s leading investment banking firm focused on life sciences and provides a full range of advisory, fundraising and broking services. The team at Code is the longest established and most experienced in the sector, having executed over 70 life sciences financing transactions, including 26 IPOs, raising more than 3 billion Euros.
